Interior Design Agreement

 

This agreement is made between Raising Brain, LLC, and the Client listed below for neuro-inclusive interior design services.

 

Scope of Work: This project includes the design, sourcing, purchasing, delivery, and setup of furniture and build-out items listed on the curated design list provided. The scope does not include painting services or the cost of paint. Any paint-related work will need to be contracted independently by the Client.

Design Style & Substitutions: The overall style and theme will remain consistent with the curated list, but some items may vary due to availability. Substitutions will always be equal to or greater in quality and design, never downgraded. In many cases, we may opt for upgraded selections if they better serve the space or function.

Payment Terms: A  50% deposit is required to begin ordering items and materials. The remaining balance will be due upon the final walk-through and completion of the installation.

Ordering & Delivery: Once the deposit is received, we will begin ordering all items and materials in bulk. All items will be delivered and set up in cohesive installation(s), coordinated by our team.

 

Agreement & Authorization: By electronically signing below, the Client agrees to the terms listed above and authorizes Raising Brain, LLC to proceed with the design, ordering, and installation process.

Design Agreement Form

1. Scope of Services

Designer agrees to provide full-service design services for Client’s space, which may include:


  • Space planning and design concept development

  • Sourcing, procurement, and ordering of furniture, decor, and artwork

  • Coordination of delivery and logistics

  • Installation, assembly, and set-up

  • Returns and exchanges if necessary

  • Custom artwork


Any additional services outside the agreed scope will require a written addendum.


2. Fees and Payment


  • A 50% non-refundable deposit is required to begin ordering and scheduling.

  • The remaining balance is due upon project completion

  • Client agrees to maintain a contingency buffer of $1,000–$2,000 to account for unforeseen adjustments (e.g., discontinued items, shipping issues). Designer will obtain approval before incurring additional costs.


3. Timeline

Designer will provide an estimated project timeline. Delivery and installation dates are subject to vendor and shipping availability. Designer is not responsible for delays caused by manufacturers, shipping carriers, or other third parties.


4. Revisions & Changes

Client may request substitutions or revisions. Client acknowledges that manufacturer and vendor pricing is subject to change and beyond the control of Designer. In the event of a price increase after the proposal has been approved but before ordering is completed:


  • Designer will notify Client of the updated pricing.

  • Client may approve the new price or request an alternative selection within budget.

  • Designer is not responsible for honoring expired or changed vendor pricing.



5. Ownership of Design Materials

All design concepts, plans, and artwork provided by Designer remain the intellectual property of Designer until full payment is received.


6. Cancellation & Refunds


  • If Client cancels after orders have been placed, Client is responsible for all restocking, shipping, and return fees.

  • Deposits are non-refundable but may be applied to future services at Designer’s discretion.


7. Liability & Hold Harmless

Designer will take all reasonable care in the selection, delivery, and installation of furnishings. Once installation is complete and Client has taken possession of the space:


  • Designer is not liable for manufacturer defects, product failures, normal wear and tear, or damages occurring after installation.

  • Designer is not responsible for accidents, injuries, or damages to persons or property arising from the use, misuse, or placement of furnishings, décor, or artwork.

  • Client agrees to hold Designer harmless against any and all claims, damages, losses, or expenses (including legal fees) related to the furnishings or installation after project completion.


If Client does not approve substitutions or updated costs, the item(s) will be removed from the order, and Designer will adjust the design accordingly.


8. Entire Agreement

This Agreement constitutes the full understanding between Designer and Client. Any changes must be made in writing and signed by both parties.
